01Scope and sales architecture

These Terms of Sale apply to any purchase of credits, subscriptions, personalised content or paid services on the SpiriIA platform.

Sales via Merchant of Record: you are expressly informed that all financial transactions, invoicing and tax collection (VAT, Sales Tax, etc.) are handled entirely by our authorised Merchant of Record:

• Contracting entity for the sale: Squidlane OÜ (trading under the brand Bonzai), a company incorporated under Estonian law (European Union).
• By placing an order on SpiriIA, you enter into a direct sales contract with Squidlane OÜ as an authorised reseller.

02Prices, currencies and bank descriptor

• Pricing: the applicable prices are those displayed on the platform at the time you confirm your order. They are shown inclusive of all taxes, taking into account the local tax rules of your country of residence.
• Accepted payment methods: bank card, electronic wallets (PayPal, Apple Pay, Google Pay, Link), partner payment gateways (Paddle, Stripe) or digital assets / cryptocurrencies via the Merchant of Record's secure gateways.

Price changes

VELTYZ GROUP LLC and its Merchant of Record (Bonzai / Squidlane OÜ) reserve the right to change the prices of the service and credit packs at any time.

• For one-off purchases of credits or content: the applicable price is the one displayed on the platform at the exact moment you confirm your order.
• For recurring subscriptions: if the price of a subscription increases, you will be notified by e-mail at least thirty (30) days before the new price takes effect. If you do not accept the change, you retain the right to cancel your subscription free of charge before the new price comes into force. If you do not cancel before that date, the new price will automatically apply from the next renewal.

03Virtual credit system

As part of the service, SpiriIA may offer virtual credits allowing you to use specific features (generating text, images, voice messages or frequencies).

• Virtual credits are not real currency, have no monetary value outside the platform, and cannot be transferred between accounts.
• Purchased credits are consumed as prompts are submitted to the AI engines.
• Unless explicitly stated otherwise at the time of purchase, credits bought individually remain valid for as long as your account stays active.

04Express waiver of the right of withdrawal

In accordance with international e-commerce legislation and Article L.221-28 of the French Consumer Code (and its international equivalents) concerning the supply of digital content not provided on a tangible medium where performance has begun:

By confirming your order and immediately accessing the AI generation features or your credit balance, you:

1. expressly request immediate performance of the contract before the statutory withdrawal period expires;
2. acknowledge and expressly accept that you lose your right of withdrawal (and any possibility of a statutory refund on that ground) as soon as the digital service has begun to be performed (for example, upon sending your first prompt to the AI or upon credits being made available).

05Automatically renewing subscriptions and cancellation

If you take out a recurring subscription (weekly, monthly or annual):

• Renewal: the subscription is taken out for an initial period and renews automatically for successive periods of the same length, at the price in force at the time of subscription, unless cancelled.
• How to cancel: you may stop the automatic renewal of your subscription at any time, free of charge and without penalty. Cancellation can be done directly:
  • from your account settings on the platform;
  • or via the subscription management portal provided by our Merchant of Record (Bonzai);
  • or by e-mail to admin@spiriia.com.
• Effective date: cancellation takes effect at the end of the current subscription period. You keep access to paid features until the end of the period you have paid for. No pro-rata refund is issued for the remaining time.
